Terms and Conditions

Effective Date: March 22, 2026

These Terms and Conditions govern your access to and use of the BudgeIt app, BudgeIt+ subscription features, Testifyd LLC AI Chatbots, and any related websites, tools, content, and services provided by Testifyd LLC. By using any of these services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who We Are

BudgeIt, BudgeIt+, and Testifyd LLC AI Chatbots are services operated by Testifyd LLC (collectively, the "Services").

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the financial features of the Services. By using the Services, you represent that you meet this requirement and can legally agree to these Terms.

3. What the Services Do

The Services may allow you to:

• Track spending and budgeting activity
• Connect bank accounts, credit cards, or other financial accounts
• Receive budgeting insights, spending targets, and financial coaching
• Access premium subscription features through BudgeIt+
• Use AI chatbot tools for support and general assistance

The Services are intended for informational and educational purposes only.

4. No Financial, Legal, or Tax Advice

BudgeIt, BudgeIt+, and Testifyd LLC AI Chatbots do not provide financial, investment, legal, tax, or accounting advice. Any spending targets, financial suggestions, chatbot responses, or coaching content are general informational tools only and should not be relied on as professional advice. You are solely responsible for your financial decisions.

5. Account Responsibilities

You agree to:

• Provide accurate and current information
• Keep your login credentials secure
• Use the Services lawfully and only for authorized purposes
• Not misuse, disrupt, reverse engineer, scrape, spam, or attempt unauthorized access to the Services

You are responsible for activity that occurs under your account.

6. Financial Information and Third-Party Account Linking

Certain BudgeIt features allow you to connect bank accounts and credit cards through Plaid Technologies, Inc. (“Plaid”).

By using these features, you authorize Plaid and your financial institutions to provide account data to BudgeIt so we can operate app functionality.

You acknowledge and agree that:

• Financial account credential collection is handled by Plaid
• BudgeIt and Testifyd LLC do not receive or store your bank username or password
• BudgeIt receives account and transaction data from Plaid and connected institutions to provide budgeting and coaching features
• Data availability and accuracy depend on Plaid and your financial institutions, and may be delayed, incomplete, or interrupted
• Your use of Plaid is governed by Plaid’s applicable terms and privacy policy

7. Subscriptions, Billing, and Free Trials

Some features require a paid subscription, including BudgeIt+.

By purchasing a subscription, you agree that:

• Pricing and features will be shown at the time of purchase
• Free trials, if offered, automatically convert to paid subscriptions unless canceled before the trial ends
• Subscriptions renew automatically unless canceled
• Billing may be handled by Apple, Google, Stripe, RevenueCat, or another authorized payment provider
• If you subscribe through Apple App Store or Google Play, billing, cancellation, and refund rules may be governed by that platform

8. Cancellation and Refunds

You may stop using the Services at any time. Subscription cancellations must be managed through the platform or payment provider used to purchase unless otherwise stated.

Unless required by law or stated otherwise in writing:
• Subscription fees are non-refundable
• Partial billing periods are not prorated
• Canceling stops future renewals only

9. Referral and Promotional Programs

We may offer referral programs, discounts, credits, or promotional rewards, including subscription-related incentives. These programs may be subject to additional rules presented in the app or on our website. We reserve the right to deny, reverse, or revoke rewards if we determine that referrals were fraudulent, duplicated, self-referred, abusive, or otherwise violated these Terms.

10. Shared Access Features

If the Services allow you to share access with a spouse, partner, household member, or collaborator, you acknowledge that shared users may see budgeting, spending, and related account information associated with the shared experience. You are responsible for ensuring you have permission to share that information.

11. Privacy and Data Use

By using the Services, you acknowledge that we may collect and process information such as account and profile information; budget, transaction, and spending data; chat history and support interactions; device and usage information; subscription and billing status; and referral or promotional activity. Your information is handled in accordance with our Privacy Policy.

12. Acceptable Use

You may not use the Services to:

• Violate any law or regulation
• Commit fraud or deception
• Harass, abuse, threaten, or impersonate others
• Distribute malicious code or harmful content
• Attempt unauthorized access to systems, accounts, or data
• Interfere with the operation or security of the Services

13. Third-Party Services

The Services may link to or integrate with third-party products and services, including financial institutions, app stores, payment processors, analytics tools, and support platforms. We are not responsible for third-party content, availability, security, or practices. Your use of third-party services is subject to their terms and policies.

14. Intellectual Property

All content, software, branding, logos, text, graphics, interfaces, and related materials in the Services are owned by or licensed to Testifyd LLC and are protected by applicable law. You may not copy, distribute, modify, reverse engineer, or create derivative works from the Services except as permitted by law.

15. Service Availability

We may modify, suspend, interrupt, restrict, or discontinue any part of the Services at any time, with or without notice. We do not guarantee uninterrupted or error-free operation.

16. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. To the fullest extent permitted by law, Testifyd LLC disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. We do not guarantee that the Services will always be available, secure, or error-free; that financial data will always be complete or current; that budgeting insights or chatbot responses will always be accurate; or that the Services will meet your expectations or needs.

17. Limitation of Liability

To the fullest extent permitted by law, Testifyd LLC and its affiliates, owners, employees, contractors, licensors, and service providers are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity arising from your use of or inability to use the Services.

To the extent permitted by law, our total liability for any claim related to the Services will not exceed the amount you paid to Testifyd LLC for the applicable service during the 12 months before the event giving rise to the claim.

18. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms; we suspect fraud, abuse, or unauthorized use; we are required to do so by law or platform rules; or it is necessary to protect the Services, other users, or our business.

19. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of laws principles.

20. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to the Services or these Terms will be resolved through binding arbitration administered by the American Arbitration Association under its applicable consumer rules.

You and Testifyd LLC agree that arbitration will be conducted on an individual basis only; class actions and representative actions are waived; arbitration will take place in Arizona unless otherwise required by law; either party may bring qualifying claims in small claims court; and either party may seek injunctive relief when necessary. By agreeing to these Terms, you waive the right to a jury trial and to participate in a class action.

21. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the Effective Date above. Your continued use of the Services after changes become effective means you accept the revised Terms.
