These Terms and Conditions are governed by the laws of Arizona, without regard to its conflict of laws principles. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts located in Maricopa County.

12. Chatbot Availability

Testifyd LLC AI Chatbots strives to provide reliable and consistent service. However, we do not guarantee that the chatbot will be available at all times. Access to the chatbot may occasionally be interrupted or suspended for maintenance, updates, technical issues, or other reasons beyond our control. Testifyd LLC is not liable for any damages, losses, or inconveniences caused by such interruptions.

We will make reasonable efforts to notify users in advance of any scheduled maintenance or significant service downtime.

 

13. Cancellation of Service

Testifyd LLC reserves the right to modify, suspend, or terminate the chatbot or any related services at any time, without prior notice, for any reason. This includes but is not limited to:

• Technical or operational reasons requiring cessation of the service.

Users may stop using the chatbot at any time, and no formal cancellation process is required. If you have subscribed to any paid services associated with the chatbot, you can request cancellation or termination by contacting us at the Contact Information below. Any setup and subscription fees for the month are non refundable, unless agreed upon in writing.

 

14. Chatbot Message Limitations

The use of Testifyd LLC AI Chatbots is subject to monthly message limitations. Users may send up to 1000 messages per month as part of their usage plan. This limit ensures fair usage and helps maintain service quality for all users.

If a user exceeds the monthly message limit, their access to the chatbot's messaging services may be restricted or temporarily suspended until the start of the next billing cycle or calendar month. Users can purchase additional messages in increments of 1,000 for $10 each.

Testifyd LLC reserves the right to adjust message limitations, with notice provided to the users in advance of any changes.

 

15. Company Logo Usage

By using Testifyd LLC AI Chatbots, you grant Testifyd LLC a non-exclusive, royalty-free, and worldwide license to use your company logo, trademark, or branding for the following purposes:

• Displaying within the chatbot interface to personalize interactions for your customers.

• Showcasing as a client or partner on our website, marketing materials, or other promotional content.

If you wish to revoke this license or have specific restrictions on how your logo is used, please notify us in writing at the Contact Information below, and we will make reasonable efforts to accommodate your request. However, Testifyd LLC reserves the right to continue using any promotional materials that were created prior to the receipt of such notice.

17. Dispute Resolution and Arbitration

In the event of any disputes, claims, or controversies arising out of or relating to the use of Testifyd LLC AI Chatbots, these Terms and Conditions, or the breach, termination, enforcement, interpretation, or validity thereof, the parties agree to resolve such disputes exclusively through binding arbitration, rather than in court.

a. Arbitration Process:
The arbitration will be conducted by a neutral arbitrator and administered by the American Arbitration Association (AAA) in accordance with its rules, including the AAA’s Consumer Arbitration Rules. The arbitration will take place in Arizona, unless otherwise agreed upon by the parties.

b. No Class Actions:

You and Testifyd LLC agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or other representative action. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

c. Arbitration Fees and Costs:

Each party will bear its own costs associated with the arbitration, including legal fees, unless the arbitrator rules otherwise.

d. Exceptions:

Notwithstanding the foregoing, both parties retain the right to bring individual claims in small claims court if the claims fall within the court’s jurisdiction, or to seek injunctive relief in a court of competent jurisdiction if necessary to prevent harm.

e. Final and Binding Decision:
The arbitrator’s decision will be final and binding on both parties, and judgment may be entered upon it in any court of competent jurisdiction.

f. Waiver of Jury Trial:
By agreeing to arbitration, you and Testifyd LLC waive the right to a trial by jury or to participate in a class action.
